Governed by the laws of South Africa.
1. Acceptance of terms
These Terms form a binding agreement between you and ZA TechLabs. If you do not agree with them, you must stop using our Services.
We may update these Terms from time to time. Updates take effect once posted on this page, and continued use of the Services counts as acceptance.
2. Eligibility
You must be able to enter legally binding contracts and be at least 18 years old, or the age of majority where you live. You agree to follow all applicable laws when using the Services.
3. Use of our services
You receive a limited, revocable licence to use the Services lawfully. You may not copy, modify, resell, reverse engineer or interfere with the Services, or try to access our systems without authorisation.
Violations can lead to suspension, termination and liability for damages.
4. Accounts and registration
Where an account is required, you must provide accurate information and keep it up to date. You are responsible for protecting your credentials and for all activity under your account. Report suspected unauthorised access to support@zatechlabs.com.
5. Intellectual property rights
ZA TechLabs owns or licenses all content, branding, software and design in the Services, which are protected by intellectual property laws. Your rights are limited to using the Services as permitted, and unauthorised use may lead to legal action.
6. User content and feedback
Feedback you submit may be used by ZA TechLabs freely and without compensation. You must have the rights to any content you post, and we may remove content that breaks these Terms.
7. Fees and payment terms
Fees are charged in South African Rand (ZAR) unless agreed otherwise in writing, and are due in advance. Payments are non refundable except where the law requires a refund.
Late payment may lead to suspension of the Services and accrued interest. You are responsible for any applicable taxes or duties.
8. Third party links and integrations
We are not responsible for third party websites, tools or their privacy practices. Any dealings with third parties are between you and them, so please review their terms first.
9. Confidentiality and data protection
Confidential information shared during an engagement is used only to provide the Services and is not disclosed to unauthorised parties. Our handling of personal data is described in our Privacy Policy. Disclosure may occur where the law requires it or to enforce these Terms.
10. Disclaimer of warranties
The Services are provided "as is" and "as available". To the extent the law permits, all warranties are disclaimed, and we do not guarantee uninterrupted, secure or error free operation.
11. Limitation of liability
To the maximum extent the law allows, ZA TechLabs is not liable for indirect or consequential losses. Our total liability is capped at the greater of the amount you paid us in the 12 months before the claim, or R100.
12. Indemnification
You agree to defend and compensate ZA TechLabs for claims arising from your breach of these Terms, misuse of the Services, infringement of third party rights or content you submit.
13. Termination and suspension
We may suspend or terminate access at any time, with or without cause. On termination you must stop using the Services and delete copies of materials we provided. Provisions on intellectual property, liability and indemnity survive termination.
14. Governing law and disputes
These Terms are governed by the laws of South Africa, and disputes fall under the exclusive jurisdiction of the courts of Cape Town. Before starting legal proceedings, you agree to try to resolve the matter informally by contacting legal@zatechlabs.com for 30 days.
15. General
These Terms are the entire agreement between us. If any part is unenforceable, the rest remains in effect. You may not assign these Terms without our written consent; we may assign them in a merger, acquisition or sale of assets. We are not liable for delays caused by events beyond our reasonable control.
