• Overview

Welcome to ZA TechLabs (“we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of our website, services, digital tools, and related offerings (collectively, the “Services”). By accessing or using any part of our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. Please read these Terms carefully — they include important information about your rights, limitations of liability, and dispute resolution.

• 1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (either an individual or entity) and ZA TechLabs. If you do not agree with any part of these Terms, you must not access or use our Services. We may update or modify these Terms from time to time, and any changes will be effective upon posting the revised version on this page. Your continued use of the Services after the effective date of any changes constitutes acceptance of the new Terms.

• 2. Eligibility

Our Services are intended for individuals and businesses that can form legally binding contracts under applicable law. By accessing our Services, you represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction) and have the full power and authority to enter into these Terms. You also agree to comply with all applicable laws, rules, and regulations regarding your use of the Services.

• 3. Use of Our Services

ZA TechLabs grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for lawful purposes in accordance with these Terms. You agree not to:

• Copy, modify, distribute, sell, or lease any part of our Services or software without explicit written permission.
• Reverse engineer, decompile, or attempt to extract the source code of any proprietary software or platform.
• Use the Services to transmit malicious code, viruses, or any material that could harm our infrastructure or other users.
• Interfere with or disrupt the integrity or performance of the Services or any data contained therein.
• Attempt to gain unauthorized access to our systems, user accounts, or networks.

Violation of these restrictions may result in immediate suspension or termination of your access and liability for damages.

• 4. Accounts and Registration

Certain features of our Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are solely responsible for safeguarding your account credentials and for any activity occurring under your account. Notify us immediately at support@zatechlabs.com if you suspect any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

• 5. Intellectual Property Rights

All content, materials, trademarks, logos, graphics, user interfaces, visual design, software, and other intellectual property available through our Services (“ZA TechLabs IP”) are owned by or licensed to ZA TechLabs and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to our IP other than the limited right to use the Services as expressly permitted. Any unauthorized use, reproduction, or distribution is strictly prohibited and may result in legal action.

• 6. User Content and Feedback

You may provide comments, suggestions, ideas, or other feedback regarding our Services (“Feedback”). By submitting Feedback, you grant ZA TechLabs a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into our Services without restriction or compensation. For any content you submit publicly (e.g., testimonials or comments), you represent that you have the right to share it and that it does not infringe third-party rights. We are not responsible for monitoring user content but reserve the right to remove any content that violates these Terms.

• 7. Fees and Payment Terms

Certain Services (e.g., consulting, digital growth packages) may require payment of fees. All fees are stated in South African Rand (ZAR) or as otherwise specified. Unless otherwise agreed in writing, fees are due in advance and non-refundable except as required by law. We use third-party payment processors, and you agree to provide accurate billing information. Late payments may result in suspension of Services and accrued interest. Any taxes or duties are your responsibility.

• 8. Third-Party Links and Integrations

Our Services may contain links to third-party websites, tools, or resources that are not owned or controlled by ZA TechLabs. We are not responsible for the content, privacy practices, or terms of any third-party sites. Your interactions with third parties are solely between you and them. We encourage you to review the applicable terms and policies of any third-party service before engaging with it.

• 9. Confidentiality and Data Protection

We take the confidentiality of your information seriously. Our Privacy Policy explains how we collect, use, and protect your personal data. You agree that any confidential information disclosed during our engagement will be used solely for the purpose of providing Services and will not be disclosed to unauthorized parties. However, we may disclose information if required by law or to enforce these Terms.

• 10. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ZA TECHLABS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM US SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

• 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZA TECHLABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US (IF ANY) DURING THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM OR 100 SOUTH AFRICAN RAND (ZAR).

• 12. Indemnification

You agree to defend, indemnify, and hold harmless ZA TechLabs and its affiliates, officers, agents, and employees from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of or related to: (i) your violation of these Terms; (ii) your misuse of the Services; (iii) your violation of any third-party rights, including intellectual property or privacy rights; or (iv) any content you submit. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

• 13. Termination and Suspension

We may suspend or terminate your access to the Services at any time, with or without cause, effective immediately, including if you breach any provision of these Terms. Upon termination, your right to use the Services will cease immediately, and you must stop using our platform and delete any copies of materials provided. Provisions that by their nature survive termination (e.g., intellectual property, limitation of liability, indemnification) shall remain in effect.

• 14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Cape Town, South Africa, and the parties irrevocably consent to the personal jurisdiction and venue there. Prior to filing a lawsuit, you agree to first attempt to resolve any dispute informally by contacting us at legal@zatechlabs.com for 30 days.
